You must be at least 18 years old to use Lisa. By using the Service, you represent and warrant that:

  • You will comply with these Terms and all applicable laws

We reserve the right to verify your age and may suspend or terminate accounts that violate this requirement.

3. Account Registration and Security

3.1 Account Creation

To use Lisa, you must:

  • Provide accurate and complete information (name, phone number)
  • Verify your phone number through SMS-based authentication
  • Maintain and update your information to keep it accurate

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breach

We use SMS-based authentication with JWT tokens stored in httpOnly cookies. You must not share your authentication codes with others.

You may not:

  • Create multiple accounts for fraudulent purposes
  • Share your account with others
  • Use another person's account without permission
  • Circumvent authentication or security measures

4. Description of Service

Lisa is an AI-powered executive assistant that:

  • Operates through SMS and WhatsApp messaging
  • Integrates with your Google services (Gmail, Calendar, Contacts)
  • Manages relationships and communications on your behalf
  • Uses artificial intelligence to understand and respond to your requests

4.1 Service Availability

We strive to provide reliable service but do not guarantee:

  • Uninterrupted or error-free operation
  • Availability at all times
  • Compatibility with all devices or networks
  • Freedom from viruses or harmful components

4.2 Service Modifications

We reserve the right to:

  • Modify, suspend, or discontinue any part of the Service
  • Change features, functionality, or pricing
  • Update these Terms at any time

We will provide reasonable notice of material changes when possible.

5. Google Services Integration

5.1 Google Account Connection

By connecting your Google account, you authorize Lisa to:

  • Gmail: Read, compose, send, and manage your emails
  • Google Calendar: Access and manage your calendar events
  • Google Contacts: Access your contact information

5.2 Google API Compliance

Lisa's use of information received from Google APIs complies with the Google API Services User Data Policy, including Limited Use requirements.

5.3 Revoking Access

You may revoke Lisa's access to your Google account at any time through your Google Account permissions page. Revoking access may limit or disable certain features of Lisa.

6. Acceptable Use Policy

6.1 Permitted Use

You may use Lisa only for:

  • Tasks consistent with Lisa's intended functionality

You may not use Lisa to:

  • Access or attempt to access accounts, systems, or networks without authorization
  • Reverse engineer, decompile, or disassemble the Service
  • Use automated systems (bots, scrapers) except as explicitly permitted
  • Collect user data without consent
  • Engage in fraudulent or deceptive practices
  • Distribute content that is illegal, obscene, defamatory, or infringes intellectual property rights

6.3 AI-Generated Content

You acknowledge that:

  • Lisa uses AI to generate responses and manage communications
  • AI-generated content may contain errors or inaccuracies
  • You are responsible for reviewing and approving important communications
  • We are not liable for errors in AI-generated content

7. Intellectual Property Rights

7.1 Our Property

The Service, including all content, features, functionality, software, and technology, is owned by StageKeep Inc. and protected by copyright, trademark, patent, and other intellectual property laws.

You may not:

  • Copy, modify, distribute, or create derivative works from the Service
  • Use our trademarks, logos, or branding without written permission
  • Remove or alter copyright or proprietary notices

7.2 Your Content

You retain ownership of all content you provide to Lisa (“User Content”). By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to:

  • Use, store, process, and display your User Content
  • Provide the Service to you
  • Improve and develop the Service

This license ends when you delete your content or account, subject to backup retention periods.

If you provide suggestions, ideas, or feedback about Lisa, we may use them without obligation or compensation to you.

8. Payment and Subscription Terms

8.1 Pricing

Lisa offers various subscription plans. Current pricing is available on our website. We reserve the right to change pricing with reasonable notice to existing subscribers.

8.2 Billing

By subscribing, you authorize us to charge your payment method:

  • On a recurring basis according to your selected plan (monthly, annually, etc.)
  • For any applicable taxes or fees
  • For overages or additional services you request

8.3 Payment Methods

We accept payment through our authorized payment processors. You are responsible for providing valid payment information and keeping it current.

Your use of these services is subject to their respective terms and policies. We are not responsible for third-party services or their content, policies, or practices.

11. Disclaimers and Limitations of Liability

11.1 Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to:

  • Implied warranties of merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Accuracy, reliability, or completeness of content

We do not warrant that:

  • The Service will meet your requirements
  • The Service will be uninterrupted, timely, secure, or error-free
  • Results obtained from the Service will be accurate or reliable
  • AI-generated content will be free from errors
  • Defects will be corrected

11.2 Limitation of Liability

To the maximum extent permitted by law, StageKeep Inc., its officers, directors, employees, and agents shall not be liable for:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or use
  • Business interruption
  • Cost of substitute services

Our total liability to you for all claims shall not exceed the greater of $100 or the amount you paid us in the 12 months before the claim.

Some jurisdictions do not allow limitations on implied warranties or liability for incidental or consequential damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

You agree to indemnify, defend, and hold harmless StageKeep Inc., its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your User Content
  • Your breach of any representation or warranty

13. Term and Termination

14. Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

14.2 Informal Resolution

Before filing a claim, you agree to contact us at [email protected] to attempt to resolve the dispute informally. We'll attempt to resolve disputes within 60 days.

14.3 Arbitration Agreement

If informal resolution fails, you agree that disputes will be resolved through binding arbitration rather than in court, except:

  • Small claims court actions
  • Intellectual property disputes
  • Injunctive relief requests

Arbitration Details:

  • Conducted under the American Arbitration Association (AAA) rules
  • Located in San Francisco, California (or your location if required by law)
  • Individual basis only (no class actions)
  • Arbitrator's decision is final and binding

14.4 Class Action Waiver

You and StageKeep Inc. agree that disputes will be resolved only on an individual basis and not as a class action, consolidated action, or representative action.

14.5 Opt-Out

You may opt out of arbitration within 30 days of accepting these Terms by emailing [email protected] with “Arbitration Opt-Out” in the subject line.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and StageKeep Inc. regarding the Service.

15.2 Modifications

We may modify these Terms at any time. We will:

  • Update the “Last Updated” date
  • Notify you of material changes via email or through the Service

Your continued use after changes become effective constitutes acceptance.

15.3 Waiver

Our failure to enforce any provision does not waive our right to enforce it later.

15.7 Export Compliance

You agree to comply with all export and import laws and regulations. You represent that you are not located in a country subject to U.S. embargo or designated as a “terrorist supporting” country.

If you are a U.S. government entity, the Service is a “commercial item” as defined in 48 C.F.R. §2.101, provided with only those rights granted to non-government users.
